Terms & Conditions of Service

Please read these Terms and Conditions carefully before utilizing the Alcove Medical enterprise platform or institutional procurement services.

1. Interpretation and Definitions

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural form.

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
  • Jurisdiction refers to the State of Arizona, United States.
  • Company (referred to as either "the Company", "We", "Us" or "Our") refers to Alcove Medical, Inc., 2458 N Bellview, Mesa, AZ 85203, United States.
  • Device means any digital device capable of accessing the Platform, such as a computer, secure clinical workstation, or mobile tablet.
  • Feedback means innovations, analytical data, or suggestions sent by You regarding the attributes, mechanical performance, or features of our hardware or Platform.
  • Service (or Platform) refers to the Alcove Medical digital infrastructure, public-facing website (https://alcovemedical.org), technical dossiers, and B2B procurement portals.
  • You means the individual accessing or utilizing the Service, or the healthcare facility, institutional network, or other legal entity on behalf of which such individual is operating.

2. Acknowledgment & Institutional Access

These are the Master Terms and Conditions governing the use of this Platform and the operating agreement between You and the Company. They set out the rights, compliance obligations, and procurement protocols of all users.

Your access to and use of the Service is explicitly conditioned on Your acceptance of and compliance with these Terms. By accessing the Platform or requesting Evaluation Hardware, You agree to be bound by these Terms. If You disagree with any part of these Terms, You must immediately cease utilizing the Service.

You represent that you are an authorized representative over the age of 18. Access to our B2B procurement portals is restricted strictly to licensed healthcare professionals, clinical directors, and authorized institutional buyers.

3. Intellectual Property & Technical Data

The Service, including its original architecture, technical dossiers, CAD schematics, 3D renderings, clinical copy, and proprietary functionality, is and will remain the exclusive property of Alcove Medical, Inc. and its licensors.

The Service is protected by copyright, trademark, and other intellectual property laws of the United States and foreign jurisdictions. Our trademarks, trade dress, and technical documentation may not be utilized in connection with any unauthorized product, third-party medical device, or service without the express prior written consent of the Company.

4. Enterprise Feedback & Innovation

You assign all rights, title, and interest in any Feedback or clinical evaluation data You provide the Company. If for any reason such assignment is deemed ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify, and exploit such Feedback for research, development, and commercial purposes without restriction.

5. Third-Party Integrations & External Links

Our Platform may contain links to external clinical databases, regulatory bodies, or third-party web services that are not owned or controlled by the Company.

The Company maintains no control over, and assumes no responsibility for, the content, privacy frameworks, or practices of any third-party services. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by reliance on any such external content, goods, or services.

6. Termination of Access

We reserve the right to terminate or suspend Your institutional access to the Service and procurement portals immediately, without prior notice or liability, for any reason whatsoever, including without limitation a breach of these Terms or unauthorized distribution of evaluation hardware. Upon termination, Your right to utilize the Service will cease immediately.

7. Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms, and Your exclusive remedy for all of the foregoing, shall be limited to the amount actually paid by You through the Service, or 100 USD if no transaction has occurred.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, clinical disruption, loss of data, business interruption, or personal injury) arising out of or in any way related to the use of or inability to use the Service, third-party software, or physical hardware evaluated in connection with the Service.

8. "AS IS" and "AS AVAILABLE" Disclaimer

The Service and its associated digital architecture are provided to You "AS IS" and "AS AVAILABLE," with all faults and defects, without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

The Company makes no representation that the Platform will meet Your institutional requirements, operate without interruption, integrate flawlessly with internal hospital network systems, or be completely free of errors, viruses, or other harmful digital components.

9. Governing Law & Dispute Resolution

The laws of the State of Arizona, United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service.

If You have any concern or dispute regarding the Platform, procurement routing, or technical data, You agree to first attempt to resolve the dispute informally by contacting the Company's corporate enterprise team.

10. Regulatory & Legal Compliance

You represent and warrant that (i) You and Your facility are not located in a country that is subject to a United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

11. Severability and Waiver

  • Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified and interpreted to accomplish the objectives of that provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
  • Waiver: The failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

12. Modifications to the Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time to reflect updates in corporate policy, FDA guidelines, or platform architecture. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the updated terms.
